This End User License Agreement ("Agreement") governs the use of the LIUPAG software product (hereinafter referred to as the "Software"), including server components, modules, updates, and any accompanying documentation.
By using the Software, you confirm that you have read, understood, and unconditionally agree to the terms of this Agreement. If you do not agree, you must immediately stop using the Software.
1. License Grant
1.1. The copyright holder (hereinafter referred to as the "Company") grants the User a non-exclusive, limited, personal, and non-transferable license to use the Software within the purchased plan.
1.2. The license is granted for a specific number of domains, according to the selected plan and for a specific period.
1.3. The license does not imply a transfer of ownership rights. All rights to the Software (including code, design, algorithms, databases, documentation) belong to the Company.
1.4. The User does not receive any rights except those expressly provided by this Agreement.
2. Restrictions
The User is not allowed to:
copy, distribute, transfer, or resell the Software to third parties;
modify the source code, decompile, attempt to remove protection, or bypass technical restrictions;
use the Software beyond the domain limit or use a personal license for commercial purposes;
rent out the Software, provide access via SaaS model, or include it in other products without the Company's written consent.
3. Updates and Support
3.1. The Company may, at its sole discretion, release or not release updates.
3.2. The Company is not obliged to ensure compatibility of updates with the User's server configuration or third-party services.
3.3. The Company reserves the right to unilaterally change the functionality of the Software.
4. Disclaimer of Warranties and Limitation of Liability
4.1. The Software is provided "as is". The Company makes no express or implied warranties, including but not limited to: warranties of operability, merchantability, fitness for a particular purpose, uninterrupted operation, or data security.
4.2. The Company is not liable for:
direct, indirect, incidental, punitive, or consequential damages (including loss of profits, data, reputation, customers, etc.);
any failures, errors, vulnerabilities, or incompatibilities of the Software;
inability to use the Software for any reason (including hardware, network, or third-party service failures);
third-party claims related to the User's use of the Software.
4.3. The Company's total liability is limited to the amount actually paid by the User for the last paid license period.
5. Indemnification
5.1. The User agrees to indemnify and hold harmless the Company, its employees, and partners from any claims, lawsuits, losses, penalties, and expenses (including legal fees) arising from:
the User's violation of this Agreement;
use of the Software in violation of the law or third-party rights;
placement or processing of the User's data using the Software.
6. Termination of License
6.1. The license terminates automatically at the end of the paid period.
6.2. The Company has the right to suspend or revoke the license immediately in case of violation of this Agreement, without refund of paid funds.
7. Governing Law and Jurisdiction
7.1. This Agreement is governed by the laws of Poland.
7.2. All disputes are subject to the exclusive jurisdiction of the competent courts at the Company's place of registration.
8. Miscellaneous
8.1. The invalidity of any part of the Agreement does not affect its other provisions.
8.2. The Company has the right to unilaterally amend this Agreement by publishing an updated version on the official website. Continued use of the Software constitutes the User's acceptance of the new terms.
